Carmaker Stellantis has nominated Daniel Ramot and Alice Schroeder as new board members while proposing the re-election of five others, the company said on Monday, as the mandates of seven executives near completion.
Ramot, an Israeli-American, is the co-founder and CEO of Via, a transportation technology company. Schroeder, a former managing director at Morgan Stanley, serves on several corporate boards, including HSBC North America.

“The board believes that Schroeder’s deep expertise in financial oversight and strategic leadership, combined with Ramot’s extensive experience in technology, research, and innovation, will provide highly valuable insights and strengthen the leadership of Stellantis,” the company said in a statement.
The appointments come as Stellantis undergoes governance changes following the resignation of CEO Carlos Tavares in December. Chairman John Elkann, head of Italyâs Agnelli family and Stellantisâ largest shareholder through investment holding EXOR (EXOR.AS), has been overseeing the companyâs transition.
Ramot and Schroeder will replace Wan Ling Martello and Jacques Saint-Exupery on the board. Meanwhile, Stellantis has proposed the re-election of Fiona Cicconi, Nicolas Dufourcq, Ann Godbehere, Claudia Parzani, and Benoit Ribadeau-Dumas.
The board changes are subject to shareholder approval at the companyâs annual meeting on April 15. If confirmed, the seven non-executive directors would serve a two-year term. Stellantis’ board consists of 11 members, including the currently vacant CEO position.

Stellantis, the worldâs fourth-largest automaker by sales, was formed in 2021 through the merger of Fiat Chrysler and France’s PSA Group.
